GURU IT SOLUTIONS, LLC provides managed IT services, cybersecurity services, cloud and infrastructure management, consulting, and related technology services (“Services”).

Services are provided with a month‑to‑month minimum commitment, unless otherwise stated in a written agreement such as a Master Services Agreement (MSA), Statement of Work (SOW), or Service Order.

If there is a conflict, the signed agreement controls.

 

2. Website Use

You agree to use our website only for lawful purposes and not to:

  • Attempt unauthorized access to systems or data

  • Introduce malware or malicious code

  • Interfere with website functionality

  • Misuse, scrape, or copy website content

We may suspend or restrict access at our discretion.

 

3. Information Collection & Use

We collect only information necessary to provide our services and communicate effectively, including:

  • Name, business name, email address, phone number, and mailing address

  • Communication records related to support, sales, or service delivery

  • Business and technical information required to deliver managed IT services

4. SMS Communications

By opting into SMS from a web form or other medium, you agree to receive SMS messages from GURU IT SOLUTIONS, LLC, including messages related to:

  • External client conversations

  • Internal employee‑related communications

Message frequency varies.
Message and data rates may apply.

5. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information

  • Maintain appropriate licenses, hardware, and vendor agreements unless otherwise agreed

  • Follow reasonable cybersecurity best practices

  • Promptly report outages, incidents, or suspected security events

Failure to do so may limit service effectiveness or impact contractual commitments.

 

6. Fees & Payment Terms

  • Invoices are due Net 30

  • Late payments may result in service suspension or late fees

  • Fees are non‑refundable unless required by law or explicitly stated in writing

7. Service Level Agreements (SLAs)

SLAs are contract‑specific and apply only where expressly documented in a signed agreement.

No SLA is implied unless stated in writing.

 

8. Data Ownership & Security

Clients retain full ownership of their business data.

We implement reasonable administrative, technical, and physical safeguards to protect information; however, no system can be guaranteed 100% secure. Cybersecurity is a shared responsibility. [guruit.net]

 

9. Regulated Clients

We support clients in regulated environments; however:

  • Regulatory compliance responsibility remains with the client

  • We do not provide legal or regulatory advice unless contracted

  • Compliance support is limited to services expressly agreed upon

10. Cookies & Analytics

Our website uses cookies and analytics tools (such as Google Analytics) to understand website usage, improve performance, and enhance user experience. This data is anonymized and not used to identify you personally.

12. Limitation of Liability

  • GURU IT SOLUTIONS, LLC is not liable for indirect, incidental, or consequential damages

  • Total liability shall not exceed fees paid during the one (1) month preceding the claim

 

13. Indemnification

You agree to indemnify and hold harmless GURU IT SOLUTIONS, LLC from claims arising out of:

  • Misuse of Services

  • Violation of applicable laws

  • Third‑party disputes related to your systems, data, or content

14. Dispute Resolution

Before litigation, the parties agree to attempt good‑faith mediation in Colorado.

If mediation fails, disputes may be resolved in Colorado state or federal courts.

15. U.S.‑Only Use

Our website and Services are intended for use within the United States only.

16. Changes to Terms

We may update these Terms periodically. Continued use of our website or Services constitutes acceptance of the updated Terms.
